1. Acceptance of Terms
By accessing or using Elysium Medical EDC ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Description of Service
Elysium Medical EDC provides a cloud-based Electronic Data Capture platform for clinical trial data management, including study design, data entry, query management, reporting, and export capabilities.
3. User Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorized use. You must be at least 18 years old to create an account.
4. Subscriptions and Billing
Fees are billed in advance on a monthly or annual basis as selected during registration. All fees are non-refundable except as expressly stated in our refund policy. We may change fees with 30 days' notice. Non-payment may result in suspension or termination of access.
5. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable regulation
- Attempt to gain unauthorized access to any system or account
- Upload or transmit viruses, malware, or any malicious code
- Interfere with or disrupt the integrity or performance of the Platform
- Use the Platform to store or process data in violation of applicable privacy laws
6. Data Ownership
You retain all ownership rights to the clinical trial data you enter into the Platform. We claim no intellectual property rights over your data. We may use de-identified, aggregate data for platform improvement and analytics.
7. Compliance with Regulations
The Platform is designed to support compliance with FDA 21 CFR Part 11, HIPAA, GDPR, and ICH GCP E6(R2). However, you are responsible for validating that the Platform meets your specific regulatory requirements and for configuring it appropriately for your use case.
8. Service Level and Availability
We strive for 99.9% uptime. Scheduled maintenance will be notified in advance. We are not liable for downtime caused by factors beyond our control, including internet outages, DDoS attacks, or force majeure events.
9. Limitation of Liability
To the maximum extent permitted by law, Elysium Medical EDC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability is limited to the fees you paid in the 12 months preceding the claim.
10. Termination
Either party may terminate this agreement with 30 days' written notice. We may terminate immediately for breach of these terms. Upon termination, you will have 90 days to export your data before it is permanently deleted.
11. Governing Law
These terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
